This document is an electronic record within the meaning of the Information Technology Act, 2000 and the rules made thereunder, as amended from time to time. It is generated by a computer system and does not require a physical or digital signature.


Please read these Terms and Conditions ("Terms") carefully before placing an order or using the Mood Labs website and online store available at www.moodlabs.in (the "Platform"). By using the Platform or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms, together with the policies incorporated by reference below.


  1. Our Policy Framework

These Terms govern your relationship with Downtime Products LLP across the Platform. Certain specific topics are addressed in dedicated policies, each forming part of these Terms and incorporated into them by reference:


  1. Privacy Policy: Governs how we collect, use, store, and protect your personal data, your rights as a Data Principal under the Digital Personal Data Protection Act, 2023, and the details of our Grievance Officer. Available at: https://www.moodlabs.in/policies/privacy-policy

In the event of a conflict between these Terms and any incorporated policy, the specific policy shall prevail in relation to its subject matter. These Terms apply to purchases made directly through our Platform and do not apply to Mood Labs products purchased from third-party retailers such as Amazon or other shops; any issues with such purchases should be directed to the relevant retailer.


  1. About Us

    1. Downtime Products LLP is a limited liability partnership registered in India under the Limited Liability Partnership Act, 2008, trading as Mood Labs. References to "Mood Labs," "we," "us," or "our" in these Terms refer to Downtime Products LLP.

    2. Our registered office is at 401, Sapphire Plaza, Dadabhai Road, Vile Parle (West), Mumbai 400056, India.

    3. You can contact us by phone at +91 8169050910 or by email at arushi@moodlabs.in. If we need to contact you, we will do so by telephone or in writing to the email or postal address you provided when placing your order. References to "writing" or "written" in these Terms include emails.


  1. Eligibility

    1. The Platform is open to users of all ages. However, if you are under the age of 18, you must have the prior consent of a parent or legal guardian before using the Platform or placing an order. By allowing a child under 18 to use the Platform, the parent or guardian agrees to be bound by these Terms on the child's behalf and accepts full responsibility for the child's use of the Platform. Using the platform or placing an order constitutes confirmation that any required parental or guardian consent has been obtained.

    2. If you are using the Platform on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

    3. Mood Labs reserves the right to refuse service, cancel orders, or terminate accounts if we reasonably believe that the eligibility or consent requirements above have not been met.


  1. Use of the Platform

    1. By accessing and using the Platform, you confirm that you accept these Terms and agree to comply with them. If you do not agree, you must not use the Platform.

    2. The Platform is made available free of charge. We do not guarantee that it will always be available or uninterrupted. We may suspend, withdraw, or restrict availability for operational, legal, or security reasons, with reasonable notice where possible.

    3. You are responsible for ensuring that anyone who accesses the Platform through your internet connection is aware of and complies with these Terms.

    4. If you are provided with login credentials, you must keep them confidential and not share them with any third party. You are solely responsible for all activity that occurs under your account. Please log out at the end of each session. We may disable your account if we reasonably believe you have failed to comply with these Terms or if we suspect unauthorised use.

    5. You must not misuse the Platform. Prohibited conduct includes but is not limited to:

  • introducing or transmitting any virus, malware, trojan, or other malicious code;

  • attempting to gain unauthorised access to the Platform, its servers, or any associated systems or networks;

  • conducting, facilitating, or authorising any scraping, data mining, crawling, or similar automated data-gathering activity;

  • using the Platform to send unsolicited communications or to engage in any form of spamming or phishing;

  • undertaking any activity that disrupts, degrades, or impairs the performance of the Platform.

  1. Where the Platform contains links to third-party websites, these are provided for informational purposes only. We have no control over, and accept no responsibility for, the content, privacy practices, or availability of any external site.

  2. The content on the Platform is provided for general information only. While we use reasonable efforts to keep information accurate and up to date, we do not warrant that the Platform will be error-free or that information will always be current.


  1. Products and Orders

    1. We make every effort to display our products accurately on the Platform, including descriptions, images, and pricing. Product images are for illustrative purposes only. Actual products may vary slightly in appearance, colour, or packaging. We reserve the right to make minor changes to products to reflect changes in law, implement improvements, or correct errors.

    2. Placing an order on the Platform constitutes an offer to purchase. A binding contract is formed only when we send you an order confirmation email. We reserve the right to decline any order for any reason, including product unavailability, pricing errors, suspected fraudulent activity, or failure to meet eligibility requirements. If your order is declined, you will be notified and any payment already collected will be refunded in full.

    3. Products sold on the Platform are intended for personal, non-commercial use and must not be purchased for resale. If you are a business customer interested in wholesale or trade orders, please contact us directly at +91 8169050910.


  1. Pricing

    1. The price of a product, inclusive of applicable taxes unless otherwise stated, will be the price displayed on the Platform at the time you place your order. We take reasonable care to ensure prices are correct but errors may occasionally occur.

    2. If we discover a pricing error before accepting your order, we will notify you of the correct price and give you the option to proceed at the correct price or cancel. If a pricing error is obvious and could reasonably have been recognised as a mispricing, we may cancel the order, refund any sums paid, and request the return of any products already delivered.

    3. We reserve the right to change prices at any time. Price changes will not affect orders that have already been confirmed.

    4. All prices are displayed in Indian Rupees (INR).


  1. Payment

    1. We accept the payment methods listed at checkout. Payment is due at the time of placing your order.

    2. All payment information is processed securely through our third-party payment gateway. Mood Labs does not store your full payment card details on our servers.

    3. You agree to provide current, complete, and accurate billing information. You must only use a payment method that you are lawfully authorised to use. If payment cannot be processed, your order may be delayed or cancelled.

    4. Once a refund is initiated by Mood Labs, the time taken for the amount to reflect in your account depends on your bank or payment provider and is outside our control. We are not responsible for any delays caused by third-party payment gateways, banks, or financial institutions after we have processed the refund at our end. If your refund has not appeared within 7 business days of our written confirmation, please contact your bank first, and then reach out to us if the matter remains unresolved.


  1. Delivery

    1. Delivery costs and estimated timescales will be displayed during the checkout process. We use third-party carriers to fulfil deliveries.

    2. We are not liable if delivery is delayed by an event outside our reasonable control, including natural disasters, pandemics, strikes, or governmental action.

    3. If no one is available to accept delivery at the provided address, the carrier may leave the product in a safe place or leave instructions for redelivery or collection.

    4. We cannot guarantee changes to the delivery address once an order is placed, as orders may begin processing immediately. If an address change is required, please contact us as soon as possible.


  1. Cancellations, Returns and Refunds

This topic is governed in full by our Refund & Cancellation Policy, which forms part of these Terms and is incorporated herein by reference. Please read it carefully before placing an order. 


  1. Replacement Parts

  1. If any components of a Mood Labs game are missing or damaged upon delivery, please contact us and we will endeavour to supply replacement parts free of charge, subject to stock availability. This is offered as a goodwill gesture at our reasonable discretion.

  2. We reserve the right to decline replacement part requests if we believe the request is not genuine, if the game is no longer in production, or if the missing component does not materially affect gameplay.


  1. Chargebacks and Payment Disputes

We encourage you to contact us before initiating any chargeback or payment dispute, so that we have the opportunity to resolve the matter directly. If you initiate a chargeback without first attempting resolution through our Customer Service team, we reserve the right to suspend your account, contest the chargeback, and seek recovery of any losses incurred, including reasonable costs.


  1. Order Termination by Us

We may cancel and terminate your order by notifying you in writing if:

  1. you fail to make payment when it is due and do not pay within 7 days of a reminder;

  2. you do not provide information reasonably necessary for us to fulfil the order within a reasonable time; 

  3. you provide an incorrect address or contact information;

  4. you do not make yourself or your premises available to accept delivery within a reasonable time;

  5. for any other operational reasons, including product availability. 

If we terminate your order for any of the above reasons, we will refund any payment made for products not yet provided, less any reasonable costs incurred as a result of your default, if any.


  1. Ownership of Content

  1. All content on the Platform, including but not limited to text, graphics, logos, images, game designs, product designs, software, and the overall look and feel (collectively, "Content"), is the exclusive property of Downtime Products LLP (trading as Mood Labs) or its licensors and is protected under applicable intellectual property laws, including the Copyright Act, 1957 and the Trade Marks Act, 1999. All rights are reserved.

  2. Nothing in these Terms transfers any intellectual property rights to you.


  1. Limited Licence to Use the Platform

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and its Content solely for personal, non-commercial purposes. This licence does not permit you to:

  1. reproduce, distribute, or publicly display any Content without our prior written consent;

  2. modify, create derivative works of, or reverse-engineer any part of the Platform or our products;

  3. use any scraping tool, robot, spider, or similar automated means to extract data from the Platform;

  4. use any Content for any commercial purpose without our express prior written authorisation.


  1. Trademarks

"Mood Labs," "Downtime Products LLP," and all related names, logos, game titles, and slogans are trademarks of Downtime Products LLP, whether registered or not. You may not use our trademarks without prior written permission. All other trademarks appearing on the Platform are the property of their respective owners.


  1. User-Submitted Content

  1. If you submit content to the Platform, including reviews, comments, photographs, or videos, you retain ownership of your content but grant Mood Labs a non-exclusive, royalty-free, worldwide, perpetual licence to use, reproduce, modify, and display that content in connection with the operation of the Platform and the promotion of our products.

  2. By submitting content, you represent and warrant that you own or have the necessary rights to submit it, that it does not infringe any third-party intellectual property rights, and that it is not defamatory, offensive, unlawful, or otherwise inappropriate.

  3. We reserve the right to remove any user-submitted content at our sole discretion and without notice.


  1. Privacy and Data Protection

Your privacy is important to us. The collection, use, storage, and protection of your personal data, your rights as a Data Principal under the Digital Personal Data Protection Act, 2023, our use of cookies, and our Grievance Officer details are all set out in our Privacy Policy, which forms part of these Terms and is incorporated herein by reference. Please read it carefully. By using the Platform, you acknowledge that you have read and understood our Privacy Policy.


  1. Limitation of Liability

    1. If we fail to comply with these Terms, we are responsible for loss or damage you suffer that is a direct and foreseeable result of our breach or negligence, but we are not responsible for loss or damage that is not foreseeable, is caused by events outside our reasonable control, or could have been avoided by you taking reasonable steps.

    2. Nothing in these Terms excludes or limits our liability where it would be unlawful to do so. 

    3. We supply products for personal, domestic use only. We have no liability for any loss of profit, loss of business, business interruption, or loss of business opportunity arising from any commercial use of our products.

    4. Subject to clause 18.2, our total aggregate liability to you for any and all claims arising under or in connection with these Terms shall not exceed the amount you paid to Mood Labs for the specific product giving rise to the claim.


  1. Disclaimers

The Platform and all products and services are provided "as is" and "as available" without warranties of any kind, whether express or implied, to the fullest extent permitted by applicable Indian law. We do not warrant that the Platform will always be available, uninterrupted, error-free, or free of viruses or other harmful components. Product descriptions, images, and other content on the Platform are provided in good faith but may not always be entirely accurate or current.


  1. Indemnification

You agree to indemnify, defend, and hold harmless Downtime Products LLP, its partners, officers, employees, and agents from and against any claims, liabilities, damages, losses, penalties, and expenses (including reasonable legal fees) arising out of or relating to your use of the Platform, your breach of these Terms, or your infringement of any third-party rights.


  1. Compliance with Laws

You agree to comply with all applicable laws and regulations when using the Platform, including but not limited to the Information Technology Act, 2000, the Foreign Exchange Management Act, 1999, the Prevention of Money Laundering Act, 2002, the Income Tax Act, 1961, and the Consumer Protection Act, 2019, as amended from time to time. We shall not be responsible for any non-compliance of applicable laws by you.


  1. Timepass: Free Online Games

Timepass is a section of the Mood Labs Platform offering free-to-play online games developed in-house by Downtime Products LLP, available at no cost and with no purchases or paid features of any kind. Your use of Timepass is subject to these Terms in full, including the Platform use restrictions and any personal data collected during your use is governed by our Privacy Policy. All Timepass games, including their design, artwork, code, and audio, are works owned by Downtime Products LLP and protected under the Copyright Act, 1957; you may not copy, reproduce, reverse-engineer, or exploit any part of them, and you must not use bots, scripts, or any other automated means to interact with them. Timepass games are provided on an "as is" and "as available" basis and we reserve the right to modify, suspend, or remove any game at any time without notice; we are not liable for any loss of progress, scores, or data arising from such changes.


  1. Transfer of Rights

    1. We may transfer our rights and obligations under these Terms to another organisation, for example in connection with a restructuring or sale of our business. 

    2. You may not transfer your rights or obligations under these Terms to any other person without our prior written consent. This contract is between you and us. No other person shall have any right to enforce its terms.


  1. Severability

If any court or competent authority finds any provision of these Terms to be unlawful, invalid, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions shall continue in full force and effect.


  1. No Waiver

Our failure to enforce any right or provision under these Terms at any time shall not constitute a waiver of that right or provision. We may still enforce it at a later date.


  1. Entire Agreement

These Terms, together with the Privacy Policy and Refund & Cancellation Policy incorporated by reference, constitute the entire agreement between you and Mood Labs in relation to your use of the Platform and supersede all prior agreements, representations, or understandings between us relating to the same subject matter.


  1. Governing Law and Dispute Resolution

    1. These Terms shall be governed by and construed in accordance with the laws of India. The courts of Mumbai shall have exclusive jurisdiction over any disputes arising under or in connection with these Terms.

    2. If a dispute arises, we will first attempt to resolve it through good-faith negotiation. If the dispute cannot be resolved informally within 30 days of written notice from either party, either party may pursue resolution through the appropriate courts.


  1. Changes to These Terms

    1. We may revise these Terms from time to time to reflect changes in law, regulatory requirements, our products, or our business operations. Updated Terms will be posted on the Platform with a revised date.

    2. Your continued use of the Platform after updated Terms are posted constitutes your acceptance of those changes.
